These Terms of Service ("Terms") govern your access to and use of the Calimatic Identity Platform and related services (collectively, the "Service") provided by Caliber Technologies ("Calimatic," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

The Calimatic Identity Platform provides centralized identity management, single sign-on (SSO), user authentication, and authorization services for the Calimatic ecosystem of applications including but not limited to:

  • User identity management and single sign-on
  • Multi-factor authentication
  • Organization and team management
  • Role-based access control
  • Integration with third-party identity providers (Google, Microsoft, Apple)
  • Enterprise SSO via SAML, OIDC, and LDAP
  • API key management

3. User Accounts

3.1 Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Suspension

We reserve the right to suspend or terminate your account if we reasonably believe that you have violated these Terms, or if your account poses a security risk to the Service or other users.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to transmit any malicious code or software
  • Share your account credentials with unauthorized parties
  • Use automated means to access the Service without our prior written consent
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

6. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Caliber Technologies and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

7. Third-Party Integrations

The Service may integrate with third-party identity providers and services. Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may temporarily suspend access for maintenance, updates, or to address security concerns. We will make reasonable efforts to provide advance notice of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, Caliber Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

10. Indemnification

You agree to indemnify and hold harmless Caliber Technologies, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

12. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Caliber Technologies is incorporated, without regard to its conflict of law provisions.
